Welcome to AdmasPay! These Terms of Use ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and AdmasPay (the "Company", "we", "us", "our") regarding your access to and use of the AdmasPay mobile application (the "App"), website (the "Website"), and all associated services offered by AdmasPay (collectively, the "Services").
By accessing or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all of the Terms, you are expressly prohibited from using the Services and must discontinue use immediately. These Terms apply to all users of the Services, including without limitation, users who are browsers, vendors, customers, merchants, and/or contributors of content (collectively, "Users").
1.1 Age Requirement: To be eligible to use the Services, you must be at least eighteen (18) years old and have the legal capacity to enter into binding contracts under applicable law. By using the Services, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet these requirements, you are not authorized to use the Services.
1.2 Geographic Restrictions: The Services are intended for use in Ethiopia and may not be available in all jurisdictions. You are responsible for complying with all applicable local, national, and international laws and regulations that govern your use of the Services. AdmasPay reserves the right to restrict or prohibit use of the Services from certain jurisdictions at any time.
1.3 Suspension and Termination: AdmasPay reserves the right, at its sole discretion, to suspend or terminate your access to and use of the Services at any time and for any reason, with or without notice. You agree that AdmasPay shall not be liable to you or any third party for any suspension or termination of your access to or use of the Services.
2.1 Account Creation: You may be required to create an account ("Account") to access certain features and functionalities of the Services. During the Account creation process, you will be asked to provide certain personal information, which may include your name, email address, phone number, government identification details (as required by Ethiopian law), and any other information deemed necessary by AdmasPay. You are responsible for maintaining the accuracy, completeness, and confidentiality of your Account information.
2.2 Account Security: You are responsible for maintaining the confidentiality of your login credentials, including your username and password, and for all activity that occurs under your Account. You agree to notify AdmasPay immediately of any unauthorized use of your Account or any other security breach. AdmasPay shall not be liable for any loss or damage arising from your failure to comply with these security obligations.
2.3 Third-Party Login Services: The Services may allow you to register for or log in to your Account using a third-party login service, such as Facebook, Google, or Apple. If you choose to use a third-party login service, you authorize AdmasPay to access and store certain information from your third-party login service account, as permitted by the terms of service and privacy policy of that service.
3.1 Lawful Use: You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations. You agree not to use the Services in any way that violates any applicable law, infringes upon intellectual property rights, is harmful or offensive, promotes illegal activity, deceives others, disrupts the Services, introduces harmful code, collects personal data without consent, impersonates others, or uses the Services for unauthorized commercial purposes.
3.2 Reporting Violations: If you become aware of any violation of these Terms, you are encouraged to report it to AdmasPay immediately through the contact information provided on the Website or App.
4.1 Ownership: The Services contain content ("Content") that may include text, graphics, images, logos, audio, video, data, code, and other materials (collectively, "Content"). The Content is owned by AdmasPay, its licensors, or other third parties and is protected by intellectual property laws. You agree not to modify, reproduce, distribute, create derivative works of, or publicly display the Content without express written consent.
4.2 User Generated Content: You may be able to submit content to the Services ("User Generated Content"). By submitting User Generated Content, you represent that you own all rights or have obtained necessary permissions and that it does not violate rights or laws. You grant AdmasPay a license to use your content.
4.3 Content Removal: AdmasPay reserves the right to remove or disable access to any Content at any time and for any reason, without notice.
5.1 Links and Integrations: The Services may contain links to or integrate with third-party websites or services. These are not controlled by AdmasPay and have their own terms and policies. AdmasPay is not responsible for their content or practices.
5.2 Third-Party Payment Processors: AdmasPay may use third-party payment processors. You agree to their terms when using the Services for transactions. AdmasPay is not responsible for their errors.
6.1 Electronic Payments: The Services may allow you to make or receive payments electronically. You authorize AdmasPay to debit or credit your account for Transactions and agree to pay applicable fees.
6.2 Transaction Reversals and Disputes: If you believe a Transaction is unauthorized or incorrect, notify AdmasPay immediately. AdmasPay will investigate and may reverse the Transaction.
7.1 AS IS and AS AVAILABLE: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.
7.2 NO GUARANTEES: ADMASPAY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
IN NO EVENT SHALL ADMASPAY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID ADMASPAY, IF ANY, FOR THE SERVICES DURING THE SIX (6) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless AdmasPay from any claims arising out of your use of the Services, violation of these Terms, or User Generated Content.
10.1 Term: These Terms remain in effect while you use the Services.
10.2 Termination by AdmasPay: AdmasPay may terminate your access to the Services at any time.
AdmasPay reserves the right to modify these Terms at any time. Such modifications will be effective upon posting.
12.1 Governing Law: These Terms are governed by the laws of Ethiopia.
12.2 Dispute Resolution: Disputes shall be resolved through binding arbitration in accordance with Ethiopian Arbitration Association rules.
These Terms constitute the entire agreement between you and AdmasPay.
If any provision is invalid, the remaining provisions shall remain in effect.
No waiver of any breach or provision of these Terms shall be deemed a waiver of any subsequent breach.
All notices shall be in writing and deemed given when delivered personally or sent by certified mail or email.
AdmasPay shall not be liable for any delay or failure due to causes beyond its control.
18.1 Accuracy of Information: You are responsible for ensuring that all information you provide is accurate and up-to-date.
18.2 KYC and AML: AdmasPay may collect personal information to comply with regulations.
19.1 Data Security: AdmasPay uses reasonable measures to protect your data but cannot guarantee security.
AdmasPay is not responsible for third-party financial institutions or merchant transactions.
AdmasPay reserves the right to modify or discontinue any financial services.
AdmasPay may establish additional terms for specific features.
These Terms are not assignable by you without consent. AdmasPay may assign these Terms.
